After the $350,000 transaction is finalized, X1 will own all issued and outstanding membership interests in Tyrus. The agreed-upon acquisition price consists of $150,000 in cash and 555,555 freshly issued X1 shares valued at $0.45 per share. A bonus of $100,000 in cash or stock was also arranged, contingent upon Tyrus managing $1.75 million in sales during its first fiscal year.
